THE NEW RULES IN CHANGING THE STATE REGISTRATION INFORMATION

On December 17th a number of amendments were made to the law of Azerbaijan Republic “On State Registration and State Registry of the Legal Persons”. New rules were added to the Article 9 and 11 of the law.

Now changes made to constituent documents of branches and representative offices of legal entities and foreign legal entities, as well as each subsequent change in already given and registered information in the state registry of legal entities, shall come into force only after their state registration. Moreover, branches and representative offices of legal entities and foreign legal entities can take no activities based on the alterations they made till the respective changes were not entered into force.

In other words, if branches and representative offices of legal entities and foreign legal entities made changes in the information previously registered by the state and did not submit the necessary documents to the respective State Authority (MoT) for registration in the manner prescribed by the Law, they will be liable under the Code of Administrative Offences of Azerbaijan Republic. The stamp of the legal entity must be handed over to the respective State Authority during the procedure of the changes in the legal name of the legal person.
